2. Description of Services
2.1 Multi-Tenant SaaS Platform
We provide a secure, multi-tenant Software-as-a-Service (SaaS) payroll platform specifically designed for Guernsey businesses, including:
- GSSA and income tax calculations with complete tenant data isolation
- Employee management and payslip generation within isolated tenant environments
- Pension scheme integration and compliance tracking
- QuickBooks and other secure third-party integrations
- Reporting and compliance tools with tenant-specific data access
- Multi-user access within your tenant boundary with role-based permissions
2.2 Data Isolation and Tenant Security
Our platform ensures complete data isolation between tenants:
- Each client operates within a secure, isolated tenant environment
- Your data is never visible to or accessible by other tenants
- Database-level tenant isolation prevents cross-tenant data exposure
- All queries and operations are automatically filtered by your tenant ID
2.3 Service Modifications
We reserve the right to modify, suspend, or discontinue any part of our services at any time. We will provide reasonable notice of material changes that affect your use of the service.
2.4 Third-Party Integrations
Our service integrates with third-party applications. We are not responsible for the availability, functionality, or terms of service of third-party providers.
3. Your Account
3.1 Account Creation
To use our services, you must:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Be authorized to act on behalf of your organization
- Be at least 18 years old or have legal capacity to enter contracts
3.2 Account Security
You are responsible for:
- Maintaining confidentiality of login credentials
- All activities that occur under your account
- Immediately notifying us of any security breaches
- Using strong passwords and enabling two-factor authentication
3.3 Account Information
You must promptly update your account information when it changes, including billing details and contact information.
4. Payment Terms
4.1 Subscription Plans
Our services are offered through subscription plans with different features and pricing. Current pricing is available on our website.
4.2 Billing and Payment
- Billing Cycle: Monthly or annual, as selected
- Payment Method: Credit card or direct debit via Paddle
- Auto-Renewal: Subscriptions renew automatically
- Currency: All prices are in GBP unless otherwise stated
4.3 Free Trial
New accounts receive a 30-day free trial. No payment is required during the trial period. The trial automatically converts to a paid subscription unless cancelled.
4.4 Refunds
We offer refunds under the following conditions:
- Service unavailability exceeding our SLA
- Billing errors on our part
- Cancellation within 14 days of initial subscription
4.5 Late Payment
If payment fails, we may suspend your account after reasonable notice. You remain responsible for all charges incurred before suspension.
5. Data and Privacy
5.1 Your Data
You retain ownership of all data you input into our system. We process your data solely to provide our services.
5.2 Data Security
We implement industry-standard security measures to protect your data, including:
- End-to-end encryption
- Regular security audits
- Access controls and monitoring
- Secure data centers
5.3 Data Backup and Recovery
We perform regular automated backups of your data. In case of data loss, we will make reasonable efforts to restore your information.

You can export your data at any time. Upon account termination, we will provide your data in a standard format.
6. Acceptable Use Policy

You may use our services only for:

- Compliance with applicable laws and regulations
- Activities consistent with these Terms

7. Intellectual Property Rights

- Our trademarks, logos, and branding
- Documentation and support materials
- Any improvements or derivative works
7.2 Your License
We grant you a limited, non-exclusive, non-transferable license to use our software for your internal business purposes during your subscription period.
7.3 Feedback
Any feedback, suggestions, or ideas you provide to us may be used without restriction or compensation.
8. Service Availability
8.1 Uptime Commitment
We strive to maintain 99.9% uptime, excluding:
- Scheduled maintenance (announced in advance)
- Emergency maintenance
- Third-party service outages
- Force majeure events
8.2 Support
We provide customer support via:
- Email support for all plans
- Priority support for Professional and Enterprise plans
- Phone support for Enterprise plans
Support is available Monday through Friday, 9 AM to 5 PM GMT.
9. Limitation of Liability
9.1 Service Limitation
Our services are provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.
9.2 Liability Cap
Our total liability to you is limited to the amount you paid us in the 12 months preceding the claim.
9.3 Excluded Damages
We are not liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Data corruption or loss (beyond our backup obligations)
- Third-party claims or actions
9.4 Tax and Legal Compliance
10. Termination
10.1 Termination by You
You may terminate your subscription at any time by:
- Cancelling through your account settings
- Contacting our support team
- Not renewing at the end of your billing cycle
10.2 Termination by Us
We may terminate your account if you:
- Violate these Terms of Service
- Fail to pay fees when due
- Engage in fraudulent or illegal activities
- Breach our Acceptable Use Policy
10.3 Effect of Termination
Upon termination:
- Your access to the service will cease immediately
- We will provide your data export within 30 days
- Your data will be deleted after the retention period
- You remain liable for all charges incurred before termination
11. General Provisions
11.1 Governing Law
These Terms are governed by the laws of Guernsey. Any disputes will be resolved in the courts of Guernsey.
11.2 Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through our service. Continued use after changes constitutes acceptance.
11.3 Severability
If any provision of these Terms is found invalid, the remaining provisions continue in full force and effect.
11.4 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Guernsey Payroll.
11.5 Assignment
You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
